1. Introduction
1.1 These Terms & Conditions (“Terms”) govern your access to and use of Cotopia Shop (the “Shop”), operated by Cotopia (“we”, “us”, “our”). By accessing, browsing or purchasing from the Shop you agree to be bound by these Terms.
1.2 If you do not accept these Terms, do not use the Shop or purchase products from it.
2. Definitions
“Buyer”, “you”, “your” means any person who accesses the Shop or purchases Products. “Products” means the digital templates, collections, downloads, services and associated materials offered for sale. “Order” means your request to purchase. “Delivery” or “Fulfilment” means provision of the Product after successful payment.
3. Eligibility
3.1 You must be at least 18 years old (or the age of majority in your jurisdiction). If under 18, you may only use the Shop with parental or guardian consent.
3.2 By placing an Order you warrant you have authority to enter these Terms and that information you provide is true.
4. Orders, Pricing & Payment
4.1 Orders are subject to acceptance by Cotopia. Acceptance occurs when we send delivery confirmation or provide access to the Product.
4.2 We may refuse or cancel Orders for reasons including unavailability, pricing errors, suspected fraud, or illegal activity.
4.3 Prices shown on the Shop are in the currency indicated (default: USD) and exclude taxes unless stated. You are responsible for fees charged by your payment provider (bank fees, blockchain gas fees, etc.).
4.4 Accepted payment methods may include PayPal (including PayPal Buttons), cryptocurrency transfers, and other providers displayed at checkout. PayPal transactions are processed by PayPal and subject to PayPal’s terms.
5. Digital Delivery, License & Usage
5.1 Products are delivered electronically (e.g., download link to PayPal email, direct download, or other electronic means).
5.2 Upon purchase, Cotopia grants a non-exclusive, non-transferable, worldwide license to use the Product per the license terms shown on the product page or accompanying documentation.
5.3 Unless expressly permitted, licenses do NOT allow you to redistribute, resell, sublicense, claim ownership of the Product, or otherwise make available the original source for resale.
5.4 You must comply with any specific license/EULA attached to a Product; that specific license governs if conflicts arise.
6. Refunds, Returns & Cancellations
6.1 Because Products are digital, refunds are limited. Refunds may be issued at Cotopia’s discretion if a Product is materially not as described or delivery cannot be cured.
6.2 To request a refund, contact support at the contact address below within 14 days of purchase (or as otherwise specified on the product page), providing proof of purchase and a description of the issue.
6.3 For PayPal purchases you may also use PayPal dispute channels; however, refund eligibility is governed by these Terms and product license.
6.4 For cryptocurrency payments, refunds may be impracticable or impossible after on-chain confirmation. Cotopia will evaluate such requests but is not obligated to refund confirmed transfers unless stated otherwise.
7. Delivery Times & Expiration
7.1 Delivery typically occurs within 24–48 hours of payment capture unless otherwise specified on the product page.
7.2 Download links or access credentials may expire; product pages or confirmation messages will indicate any expiration details.
Cotopia is not responsible for buyer-side email filtering, spam, or incorrect email addresses used at checkout.
8. Taxes & Duties
8.1 Buyers are responsible for any taxes, duties, import charges or VAT in their jurisdiction. Cotopia may collect taxes at checkout where legally required and will display tax information when applicable.
9. Account, Security & User Responsibilities
9.1 If you create an account you are responsible for maintaining the confidentiality of credentials and for all activity under your account.
9.2 Notify Cotopia immediately of any unauthorized use or breach. Cotopia is not liable for losses arising from compromised credentials when you fail to secure them.
10. Intellectual Property
10.1 All content on the Shop (site design, text, images, logos, code) is owned or licensed by Cotopia unless otherwise stated. Except as licensed, you may not copy, modify, distribute or create derivative works.
10.2 Buyers receive only the usage rights expressly granted; copyright remains with Cotopia or the content creator unless expressly transferred in writing.
11. Third-Party Services & Links
11.1 The Shop integrates with third-party services such as PayPal and blockchain wallets (e.g., MetaMask). Use of these services is governed by the third parties’ terms and privacy policies. Cotopia is not responsible for their actions or failures.
12. Warranties & Disclaimers
12.1 TO THE FULLEST EXTENT PERMITTED BY LAW, COTOPIA PROVIDES THE SHOP AND PRODUCTS “AS IS” AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2 Cotopia does not warrant uninterrupted, error-free, or fully secure operation and is not responsible for third-party disruptions.
13. Limitation of Liability
13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, COTOPIA’S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SHOP SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE RELEVANT PRODUCT(S) IN THE 12 MONTHS PRECEDING THE CLAIM.
13.2 COTOPIA SHALL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE OR EXEMPLARY DAMAGES, LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.
14. Indemnification
14.1 You agree to indemnify and hold Cotopia and its officers, directors, employees and agents harmless from claims, damages, losses, liabilities, costs and expenses (including legal fees) arising from your breach of these Terms, violation of law, or misuse of Products.
15. Privacy & Data Handling
15.1 Cotopia’s handling of personal data is governed by the Privacy Policy (link available on the Shop). By using the Shop you consent to our collection and use of personal data as described in that policy.
15.2 Payment processors and blockchain providers may independently collect and process personal information for transaction purposes.
16. Cryptocurrency & Blockchain Payments
16.1 If you pay with cryptocurrency you acknowledge that:
- On-chain crypto payments are generally final once confirmed; Cotopia may not be able to reverse or refund confirmed transfers.
- Network fees, gas costs, and exchange volatility are your responsibility.
- Cotopia may require server-side verification of receipt before delivering Products.
17. Changes to Products & Terms
17.1 Cotopia may modify Products, features, pricing and these Terms. Material changes will be posted with an updated “Last updated” date. Continued use after changes constitutes acceptance.
18. Termination & Suspension
18.1 Cotopia may suspend or terminate access or cancel Orders for breach, suspected fraud, illegal activity, or for operational, security or legal reasons. Termination does not affect accrued rights and obligations (e.g., payment obligations).
19. Dispute Resolution & Governing Law
19.1 These Terms are governed by the laws of the jurisdiction where Cotopia is incorporated (Wyoming). Disputes should first be attempted to be resolved informally by contacting Cotopia support. If unresolved, disputes may be brought before the competent courts of the governing jurisdiction, subject to any arbitration provisions Cotopia may specify.
20. Export Controls & Sanctions
20.1 You are responsible for complying with export/import laws and trade sanctions. You may not purchase or use Products in violation of applicable export control or sanctions laws.
21. General Provisions
21.1 Notices may be delivered by email or posted on the Shop. Notices to Cotopia should be sent to the contact address provided below.
21.2 If any provision is held invalid or unenforceable, the remaining provisions remain in force. Failure to enforce a right does not waive that right.
21.3 Cotopia may assign its rights in connection with a merger, acquisition or sale. You may not assign these Terms without Cotopia’s consent.
21.4 These Terms, together with the Privacy Policy and any product license, form the entire agreement between you and Cotopia regarding the Shop.
